Acquisition of own shares
BRUSSELS, Belgium, 14 March 2013 – 19:30 (CET) – regulated information –
In application of art. 207 of the Royal Decree executing the Company Code, UCB SA/NV announces that, it has, with trade date 12 March 2013 as an execution of a discretionary mandate, sold 120,000 UCB share options, previously purchased in June 2011, to a bank counterparty with strikes and maturity dates as follows :
- 30,000 options maturing 19 May 2017 with strike € 28
- 30,000 options maturing 19 May 2017 with strike € 30
- 30,000 options maturing 19 May 2017 with strike € 32
- 30,000 options maturing 19 May 2017 with strike € 34
In a related transaction, UCB SA has purchased from the same counterparty 120,000 UCB shares at a price of € 48.99 per share. This share price is within the high (€ 49.315) and low (€ 48.10) of the trading range of 12 March 2013.
In a separate transaction UCB has also acquired 1,614 UCB shares on the Brussels stock exchange on the date and at the price indicated hereunder:
These shares were distributed to the employees in the context of share grants in the framework of existing Company’s stock award plans and stock performance plans of which the detail is given in UCB annual report.
After these transactions UCB SA is the owner of 710.760 UCB shares and 2,500,000 assimilates securities which together represent 1.75% of the total (183,417,352) shares issued by the company.
