Acquisition of own shares

Brussels (Belgium), 3 July, 2014 – 18:30 (CET) – regulated information

In application of article 207 of the Royal Decree executing the Companies Code, UCB SA/NV announces that, with settlement date on 25 July 2014, it will acquire 85,000 UCB shares OTC at a price of € 61.7817 per share following the exercise by UCB SA/NV, on 27 June 2014, of its early termination right under the share swaps it entered into on 20 June 2014. The highest independent bid price on Euronext Brussels on 20 June 2014 was € 61.99.

On 2 July 2014, UCB SA/NV owns 255,535 UCB shares, which represent 0.13% of the total number of shares issued by the company (194,505,658).

On 25 July 2014, after settlement of the above transaction and without regard to possible future transactions in own shares, UCB SA/NV will own 340,535 UCB shares, which represent 0.18% of the total number of shares issued by the company (194,505,658).
