Acquisition of own shares (October 16, 2015)

In application of article 207 of the Royal Decree executing the Belgian Companies Code, UCB SA/NV announces that yesterday, 15 October 2015, a total of 200,000 UCB share options, previously purchased on 29 September 2011, with a strike price of € 38.75, came to maturity and were automatically exercised at maturity date in accordance with the provisions of the agreement with the bank counterparty (settlement date 20 October 2015).

The highest independent bid price on Euronext Brussels on 15 October 2015 was € 68.61.
On 15 October 2015, taking into account the above transaction, UCB SA/NV owns 2,342,504 UCB shares, representing 1.20 % of the total number of shares issued by the company (194,505,658).

An updated overview of the UCB SA/NV large shareholdings will be included in the corporate governance charter of UCB SA/NV, which is available on its website.
