Acquisition of own shares

Brussels (Belgium), 6 January 2015 – 18:30 (CET) – regulated information

In application of article 207 of the Royal Decree executing the Companies Code, UCB SA/NV announces that, on 30 December 2014, it exercised 438,960 UCB share options (settlement date: 2 January 2015), previously purchased in February 2012, with maturity dates and strike prices as follows:

  • 24,762 options, maturing 16 January 2015, with strike € 36
  • 24,762 options, maturing 16 January 2015, with strike € 37
  • 24,762 options, maturing 16 January 2015, with strike € 38
  • 24,762 options, maturing 16 January 2015, with strike € 39
  • 24,762 options, maturing 16 January 2015, with strike € 40
  • 29,264 options, maturing 16 February 2015, with strike € 36
  • 29,264 options, maturing 16 February 2015, with strike € 37
  • 29,264 options, maturing 16 February 2015, with strike € 38
  • 29,264 options, maturing 16 February 2015, with strike € 39
  • 29,264 options, maturing 16 February 2015, with strike € 40
  • 33,766 options, maturing 16 March 2015, with strike € 36

On 5 January 2015, UCB SA/NV owns 1,117,156 UCB shares, which represent 0.57% of the total number of shares issued by the company (194,505,658).
