Acquisition of Own Shares

In application of article 207 of the Royal Decree executing the Belgian Companies Code, UCB SA/NV announces that on April 7, 2015, it exercised a total of 2,445,715 UCB share options (settlement date 9 April 2015), previously purchased in September 2011 and February 2012, with various maturity dates in 2015 and with strike prices as follows:

•    40,000 options with strike price € 28.00;
•    40,000 options with strike price € 30.00;
•    40,000 options with strike price € 32.00;
•    40,000 options with strike price € 34.00;
•    297,143 options with strike price € 36.00;
•    297,143 options with strike price € 37.00;
•    297,143 options with strike price € 38.00;
•    800,000 options with strike price € 38.746;
•    297,143 options with strike price € 39.00;
•    297,143 options with strike price € 40.00.

Furthermore, on March 30, 2015, UCB SA/NV and UCB Celltech, UK branch of UCB Pharma SA bought 44,135 and 3,815 UCB shares respectively (settlement date April 1, 2015), OTC from an affiliate, at a price of € 69.2122 per share, in view of deliveries of shares to employees within the framework of the Long Term Incentive Program of the UCB Group. The highest independent bid price on Euronext Brussels on 30 March 2015 was € 69.81.

On April 7, 2015, UCB SA/NV owns 2,782,586 UCB shares, representing 1.43 % of the total number of shares issued by the company (194,505,658).
