Major Shareholders

Yearly notification by virtue of Article 74 § 8 of the Law of 1 April 2007 relating to public takeover bids made on 27 August 2009.

Since the notification made according to Art 74 § 8 of the Law of 1 April 2007 on 28 August 2008:

• Financière de Tubize S.A. and Schwarz Vermögensverwaltung GmbH & Co KG did not sell or purchase UCB shares and own respectively 36.20% and 5.39% of the capital.
• UCB Fipar S.A., a company of the UCB Group, sold 428 shares and owns 1.73% of the capital.
• UBC SCA, a company of the UCB Group, bought and sold a number of UCB shares and owns 1 share.

• Financière de Tubize S.A. and Schwarz Vermögensverwaltung GmbH & Co KG did not sell or purchase UCB shares and own respectively 36.20% and 5.39% of the capital.
• UCB Fipar S.A., a company of the UCB Group, sold 1 100 shares and owns 1.73% of the capital.
• UBC SCA, a company of the UCB Group, bought and sold a number of UCB shares and owns 0.006% of the capital.

Wellington Management Company, LLP having its registered offices at 75 State Street, Boston, MA 02109, United States of America, notified having sold a number of UCB shares with voting rights on 28 October 2008 making it cross the lowest statutory threshold for notification (being 3%).
